Brand Platform User Terms and Conditions

Last modified: October 16, 2026

Daisy Pay Inc. (“Daisy”, “we”, “our” or “us”) provides the web platform, application, or service (the “Services”) on which these Brand Platform Terms and Conditions are posted (the “Terms”). These Terms form a legal agreement between Daisy and you, or the business or company that you are authorized to represent (collectively, “you”). These Terms govern your use of the Services, are effective as of the date you first access or use the Services, and will continue in effect until you or Daisy terminate our relationship in accordance with the Termination section below (the “Term”). In addition to these Terms, your use of the Services may be pursuant to a separate services agreement, insertion order, statement of work, or media plan (“Services Agreement”). In the event of a conflict between these Terms and a Services Agreement, the Services Agreement shall control. These Terms do not modify, amend, subtract from, or reduce any of your commitments or obligations under a Services Agreement.

Section 3, below, describes specific terms related to your agreement to enroll in a subscription. If you enroll in a subscription, you acknowledge that you have read, understand, and agree to be bound by the relevant subscription terms.

You and Daisy agree as follows:

  1. Eligibility: To be eligible to use the Services you must be a business (which may include sole proprietors), and/or an employee, contractor, or other individual authorized by such a business to use the Services. If you are in a jurisdiction where the Services may not be offered under applicable laws, or under eighteen (18) years of age or the age of majority for contracting purposes where you live, you may not use the Services. If you are a representative or authorized user acting on behalf of a business, you represent and warrant that you are authorized to provide information and bind the business to these Terms. Daisy may require documentation or information to demonstrate your authority to act on behalf of a business, including your management or other significant responsibility for the control or direction of relevant areas of the business. If you are a sole proprietor, you agree that you are personally responsible and liable for your use of the Services and payment of amounts owed under these Terms. If Daisy has previously prohibited you from accessing or using the Services, you are not permitted to access or use the Services.

  2. Modifications to these Terms: From time to time we may update these Terms in our discretion. Updates will be effective thirty (30) days from posting, and will apply to the Services from the effective date forward. Your continued use of the Services after any changes to these Terms take effect constitutes your agreement to those changes. We may require that you accept revised or additional terms before processing a new purchase, order, or request through the Services. You agree to review these Terms periodically to ensure that you are familiar with the most recent version.

  3. Pricing and Payment: Fees for the Services will be disclosed to you within the Services, unless you and Daisy agree otherwise in writing. Subject to requirements under Applicable Laws, we may revise the fees at any time. If we increase a fee, or introduce a new fee for a Service you are using, we will provide you with at least thirty (30) days’ notice (or a longer period if required by law) before the revised or new fee applies to you. You may be asked to provide payment information or other financial account information in connection with your Account (as defined below). By providing Daisy with a payment method, you consent to Daisy’s use of the account information to charge you for Services, and you represent and warrant that you are authorized to use that payment method and any information provided is true and accurate. By submitting such information, you also grant Daisy (or the third party collecting that information on our behalf) the right to provide such information to third parties for purposes of facilitating the completion of any transactions initiated by you or on your behalf. Verification of information may be required prior to the acknowledgment or completion of any transaction. You are responsible for all taxes associated with the Services, other than U.S. taxes based on Daisy’s net income.

    1. Subscription Terms/Recurring Payments: The following terms apply to Services purchased on a recurring, subscription basis:

BY SIGNING UP FOR SUBSCRIPTION SERVICES WITH DAISY, YOU AGREE THAT YOUR SUBSCRIPTION SERVICE WILL AUTOMATICALLY CONTINUE AND THAT WE MAY AUTOMATICALLY CHARGE THE PAYMENT METHOD ASSOCIATED WITH YOUR ACCOUNT (DEFINED BELOW) FOR ALL APPLICABLE FEES AND TAXES ON A RECURRING BASIS AT THE START OF EACH APPLICABLE SUBSCRIPTION PERIOD UNTIL YOU CANCEL YOUR SUBSCRIPTION SERVICE AS DESCRIBED BELOW. TO AVOID FUTURE CHARGES, CANCEL BEFORE YOUR RENEWAL DATE.

Subscription Services renew annually or monthly at the rates disclosed to you within the Services. An annual subscription to the Services will automatically renew on the 12-month anniversary of the start of your annual subscription (“Renewal Date”), unless you choose to cancel. A monthly subscription to the Services will automatically renew on the same date as your enrollment date in the following calendar month (also a “Renewal Date”), unless you cancel. (For example, if you enroll in a monthly subscription on March 7, your monthly subscription will renew on, and you will be charged on April 7, unless you cancel.)

You can cancel your subscription at any time before your applicable Renewal Date by visiting the Settings menu in your Account to adjust your subscription settings. Cancellation will be effective at the end of the then-current subscription period. Fees previously paid for your subscription to the Services prior to the effective date of cancellation will not be refunded.
If any payment is returned unpaid or if any credit card or similar transaction is rejected or denied, Daisy and its service providers reserve the right to collect any applicable rejection or insufficient funds fees or costs to the maximum extent permitted by Applicable Laws, and to process any such costs as a fee owed by you, or to invoice you for the amount due.

    2. Invoice Payments: Daisy may choose to invoice you, if you are eligible for payment by invoice, as determined by Daisy in its sole discretion and subject to approval of your financial condition. Daisy may require that you provide sufficient information to determine your financial condition. Daisy may withdraw your eligibility for payment by invoice at any time and for any reason. You are responsible for notifying Daisy of any changes in your business name, contact information, location, ownership, structure, or operational activities. Each invoice will identify the amounts payable by you to Daisy for the period corresponding to the invoice, and you will pay all amounts due within thirty (30) calendar days following the invoice date. Unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower, plus all collection expenses.

    3. Suspension of Services: In addition to any other remedies we may have, if you do not pay any fee amount(s) when due, then we may immediately suspend Services provided under these Terms, with or without notice, until you pay such amounts. Acceptance of any partial payment will not waive our rights as to remaining balances, nor in any way constitute accord and satisfaction.

  4. Services:

    1. License: Subject to your compliance with these Terms, Daisy grants you a non-exclusive, non-transferable, non-assignable and non-sublicensable license to access and use the Services during the Term solely for your business purposes and in accordance with these Terms. This license is solely for your own use and business purposes. A license granted on a subscription basis expires at the end of the applicable subscription period unless renewed, or set for autorenewal. The Services include the ability to engage with certain content creators (“Creators”) in connection with Daisy’s program for Creators (the “Creator Program”). The Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by us or by third-party providers, or because of other causes beyond our reasonable control. We will use reasonable efforts to attempt to provide you with notice, using the contact information you provide to us, of any scheduled service disruption. Any services that are additional to or outside of access to the Services, including professional and consulting services, shall be subject to a Services Agreement.

    2. Modifications: We reserve the right to modify the Services at any time for any reason, including without limitation, to discontinue providing the Services, or any component thereof (including without limitation certain Creators or the Creator Program), in our sole discretion. We will use reasonable efforts to attempt to provide you with notice, using the contact information you provide to us, if the modification or discontinuation would materially reduce the functionality of the Services that you are using under these Terms, unless giving notice would (i) pose a security issue; or (ii) cause us to violate an Applicable Law or breach a legal obligation. We are not obligated to provide any updates to the Services. If we do make an update available, you must install the update within the time period stated in our notice to you.

    3. Restrictions and Responsibilities: You are responsible for obtaining and maintaining any systems, equipment and ancillary services needed to connect to, access or otherwise use the Services, including, without limitation, computers, modems, hardware, servers, software, operating systems, networking, web servers and the like. You are fully responsible for the acts and omissions of users, Accounts, and activity under your and your users’ Accounts. You shall not, directly or indirectly: (i) reverse engineer, decompile, disassemble, or otherwise attempt to reverse engineer or discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services; (ii) modify, translate, or create derivative works based on the Services; (iii) use the Services for timesharing or service bureau purposes, as a pass-through agent, or otherwise for the benefit of any third party, or to compete with us; (iv) work around any technical limitations or restrictions within a Service or its documentation, access any non-public systems or data, or enable any disabled or prohibited functionalities; (v) copy, reproduce, republish, upload, post, transmit, resell, distribute, sublicense, rent, lease, or lend any Services, in whole or in part; (vi) use the Services in violation of Applicable Laws, third party Intellectual Property Rights, or the terms and conditions applicable to a Third Party Service (as defined below); (vii) use the Services or information obtained from the Services to engage in any activity that is illegal, fraudulent, deceptive, exploitative, or harmful, or that threatens, promotes, or encourages violence or other serious harm; (viii) exceed any Services usage limitations or perform or attempt to perform any action that interferes with the normal operation of the Services or affects other users’ use of Services; (ix) distribute, publish, send, or facilitate the sending of unsolicited mass email or other messages, promotions, advertising, or solicitations (or “spam”); (x) use data mining, robots, or similar data gathering and extraction tools, or otherwise systematically retrieve or scrape data or other contents from the Services, including without limitation to create or compile, directly or indirectly, a collection, compilation, database, or directory, in each case without written permission from us; or (xi) remove proprietary notices from the Services. Further, you may not remove or export from the United States or allow the export or re-export of the Services or anything related thereto, or any direct product thereof in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority. You represent and warrant that (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties. The UN Convention on Contracts for the International Sale of Goods (1980) is hereby excluded in its entirety from application to these Terms.

    4. Third Party Services: We may provide, make available or otherwise permit some or all elements of the Services to connect with products or services that are provided by third parties, including social media platforms (“Third Party Services”). For clarity, the “Services” exclude Third Party Services, and we are not responsible or liable for Third Party Services in any way. We do not warrant or offer support for Third Party Services. We may remove Third Party Services at any time. Your acquisition and use of Third Party Services is solely your responsibility. If you enable or engage with Third Party Services through the Services, you acknowledge and agree that providers of those Third Party Services may have access to data you provide to the Services in connection with the interoperation and support of such Third Party Services with the Services. To the extent you authorize access to or transmission of such data through a Third Party Service, we will not be responsible for any use, disclosure, modification or deletion of such data through the Third Party Service.

    5. Third Party Data: We may provide data or information provided by third parties, including social media platforms or individual social media users (“Third Party Data”). Your use of any Third Party Data will be subject to the applicable licensor’s restrictions and terms, and you agree to comply with and adhere to all such licensor restrictions and terms. You acknowledge and agree that you assume all risk and liability from your use of Third Party Data, including any outputs therefrom. Unless otherwise explicitly permitted by the applicable licensor, you shall not: (i) sell, resell, license, sublicense, or otherwise make Third Party Data available to anybody other than your users who have a need to access such information; or (ii) use the Third Party Data in a manner that violates Applicable Laws.

  5. Accounts: You must access the Services and complete the registration process to create an account (“Account”) in order to use the Services. You may not provide an email address already in use for another active Account. To use the Services, you must provide us with current, complete, and accurate information. It is your responsibility to maintain the currency, completeness, and accuracy of your Account information, and any loss caused by your failure to do so is your responsibility. During the registration process, you will be asked to choose a password. It is entirely your responsibility to maintain the confidentiality of your password and Account. Additionally, you are entirely responsible for any and all activities that occur under your Account. You agree to notify Daisy immediately of any unauthorized use of your Account. You further agree not to email, post, or otherwise disseminate any user ID, password, or other information which provides you access to the Services. Daisy is not liable or responsible for any loss that you may incur as a result of someone else using your password or Account, either with or without your knowledge, and is not responsible for any delay in shutting down your Account after you have reported a breach of security to us.

  6. Privacy: The Data Processing Addendum attached hereto as Exhibit A governs the use of Covered Personal Information (as defined therein) in connection with the Services.

  7. Intellectual Property Rights:

    1. We own and retain all right, title and interest in and to (a) the Services, all improvements, enhancements or modifications thereto, (b) any software, applications, inventions or other technology developed or provided in connection with the Services or support, (c) any Aggregated Data, (d) all reports, metrics, or other output generated or provided by us or the Services, (e) any Feedback, and (f) all Intellectual Property Rights related to any of the foregoing (“Daisy IP”). For the avoidance of doubt, all Intellectual Property Rights and all other property rights of any nature in the Services, or information, data, and other content therein or derived therefrom are, and will remain in Daisy, with Daisy having the sole right to obtain and to hold in its name, patents, copyright registrations or trademark or service mark registrations or such other protection as may be appropriate to the subject matter, and any extensions and renewals thereof. Daisy IP is also our confidential and proprietary information, and you agree: (i) to take reasonable precautions to protect such Daisy IP, and (ii) not to use or divulge any such Daisy IP to any third person (except in using the Services or as otherwise permitted herein). For clarity, Creators retain all right, title and interest they own or control in and to Intellectual Property Rights in the content they create, subject to any right or license you negotiate directly with a Creator. For purposes of these Terms, “Intellectual Property Rights” include, without limitation, patent rights (including patent applications and disclosures), copyrights or copyrightable subject matter, trademarks, service marks, domain names, application names, trade secrets, moral rights, know-how, and any other intellectual property rights, recognized in any country or jurisdiction in the world.

    2. You may provide ideas, suggestions, comments, observations, and other input to us about the Services (“Feedback”). You grant us a perpetual, worldwide, non-exclusive, irrevocable, royalty-free license to exploit that Feedback for any purpose, including developing, improving, manufacturing, promoting, selling and maintaining the Services. We may monitor your use of the Services and collect and compile data and information related to your use of the Services that we may use in a de-identified and/or aggregated manner, including to compile statistical and performance information related to the provision and operation of the Services and as part of the features and functionality of the Services available to all users of the Services (“Aggregated Data”). You acknowledge and agree that we may compile Aggregated Data based on data, content, and information you provide and your use of the Services, which may include Covered Personal Information. You agree that we may (i) make Aggregated Data publicly available, and (ii) use Aggregated Data to the extent and in any manner permitted under Applicable Laws.

  8. Termination: You may terminate our relationship at any time by closing your Account. To do so, you must contact us at [email protected] and stop using the Services. In the event of termination, all amounts due for Services (including without limitation under any unpaid invoices) shall become due and payable immediately. If you have purchased a subscription for the Services, you may cancel at any time prior to the Renewal Date, and such cancellation will be effective at the end of the then-current subscription period. Fees previously paid for your subscription to the Services prior to the effective date of cancellation will not be refunded. Either party may terminate these Terms effective after thirty (30) days’ written notice if the other party materially breaches these Terms and such breach is not cured within such notice period. Without limiting the generality of the foregoing, we may terminate these Terms immediately upon written notice to you with respect to an incurable breach, or if you become the subject of a petition in bankruptcy or any other similar proceeding. Upon termination or expiration of these Terms, you will stop all use of the Services. All sections of these Terms which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, warranty disclaimers, indemnification obligations, and limitations of liability.

  9. Representations and Warranties:

    1. By you: You represent and warrant that (i) you and your users will only use the Services in compliance with our standard published policies then in effect, including without limitation these Terms, (ii) you are authorized, have obtained, and will maintain all necessary consents and rights required to provide or make available to us any data or information you provide to us in connection with using the Services; (iii) your use of or access to the Services will not infringe on the Intellectual Property Rights or other rights of any third party, such as privacy or publicity rights; (iv) in using the Services, you will comply with all applicable local, state, federal, regional, divisional, and/or foreign laws (including common law), statutes, rules, regulations, guidelines, self-regulatory practices, reporting requirements, ordinances, orders, decrees, judgments, settlement agreements, consent decrees, and/or treaties, and the terms of use and other policies of any applicable third party platforms (“Applicable Laws”); and (v) you will immediately notify us (using the contact information provided below) if you become aware of or receive any notification that your use of the Services infringes your obligations to a third party or otherwise breaches your representations, warranties, or obligations herein.

    2. By Daisy: Daisy makes no representations about the reliability of the features of the Services, the Creator Program, content created by Creators, or any social media content, user, or platform, and disclaims all liability in the event of any service failure. You acknowledge that any reliance on the Services or such materials, content, platforms, or systems will be at your own risk. THE SERVICES AND THE CREATOR PROGRAM ARE PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS. NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THOSE OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE MADE WITH RESPECT TO THE SERVICES, THE CREATOR PROGRAM, OR ANY INFORMATION OR SOFTWARE THEREIN. YOU ARE RESPONSIBLE FOR ANY THIRD PARTY SERVICES YOU USE, AND ANY THIRD PARTY DATA. THE THIRD PARTY SERVICE PROVIDERS AND LICENSORS OF DAISY AND ITS SUBSIDIARIES, PARENTS, AND AFFILIATES WILL HAVE NO LIABILITY OF ANY KIND UNDER THESE TERMS. You acknowledge that Daisy: (a) does not, and shall not have any responsibility to, monitor or police communications or data transmitted through the Services by you, your users, or any third party; (b) shall not be responsible for the content of any such communication or transmission; and (c) shall have no liability of any kind with respect to any materials or information that your or your users input into or transmit, publish, or distribute through the Services. The Internet may be subject to breaches of security. Daisy is not responsible for any resulting damage to any user’s device or computer from any such security breach, or from any virus, bugs, tampering, unauthorized intervention, fraud, error, omission, interruption, deletion, defect, delay in operation or transmission, computer line failure or any other technical or other malfunction. You should also be aware that email and other submissions over the Internet may not be secure, and you should consider this before emailing Daisy any information. No oral or written information or advice given by Daisy or any Daisy representative shall be deemed to alter disclaimers in this section, or to create any warranty.

    3. Limitation of Liability. NOTWITHSTANDING ANYTHING TO THE CONTRARY, DAISY AND ITS SUPPLIERS (INCLUDING BUT NOT LIMITED TO ALL EQUIPMENT AND TECHNOLOGY SUPPLIERS), OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS AND EMPLOYEES SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THESE TERMS UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY: (A) FOR ANY LOST PROFITS OR REVENUES, LOSS OF GOODWILL OR STOCK PRICE OR VALUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, EXEMPLARY, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES; (B) FOR ANY MATTER BEYOND DAISY’S REASONABLE CONTROL; OR (C) FOR ANY AMOUNTS THAT, TOGETHER WITH AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID BY YOU TO DAISY FOR SERVICES UNDER THESE TERMS IN THE 12 MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY, IN EACH CASE, WHETHER OR NOT DAISY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  10. Indemnification: You shall defend (if requested by Daisy), indemnify, and hold harmless Daisy and its subsidiaries and affiliates, and its and their officers, directors, employees, agents, service providers, licensors, and affiliates (“Daisy Indemnified Parties”) from and against any and all claims, suits, actions, or proceedings based upon or arising out of (a) your use of the Services, or any Third Party Services or Third Party Data; (b) any representation, information, content, or other material supplied by you in connection herewith; or (c) your or your users’ breach of these Terms or any of the warranties and representations made by you herein; and in each case, you will indemnify and hold harmless the Daisy Indemnified Parties for any liabilities (including damages awarded or payments agreed to in any judgment, consent decree or settlement), damages, fines, losses, costs, judgments, penalties, and expenses of any kind (including reasonable attorneys’ fees, costs, and disbursements) (“Losses”) which may be obtained against, imposed upon, or suffered in connection therewith. The Daisy Indemnified Party will notify you in writing of any claim and provide reasonable assistance to you with respect to handling such claim, at your expense. You may defend and settle a claim, except that you may not agree to any settlement that does not unconditionally release the Daisy Indemnified Party without the Daisy Indemnified Party’s prior written consent. The Daisy Indemnified Party will be entitled to participate in the defense of any such claim using counsel of its choice, at its own expense.

  11. Miscellaneous: These Terms contain the parties’ entire agreement related to the subject matters provided for herein and supersede any and all prior agreements or understandings, except to the extent expressly set forth herein (i.e., in a Services Agreement). There shall be no force or effect to any different terms of any of your purchase orders, insertion orders, or similar forms or terms. You and Daisy are independent parties, and neither you nor your users are, or shall be deemed, Daisy’s employees. Nothing contained herein will be construed as creating any agency, partnership, joint venture or other form of joint enterprise between us. Neither you nor your employees or users are entitled to any benefits which are available to employees of Daisy. These Terms and the Services will be governed by and construed in accordance with the internal laws of New York without regard to conflicts of laws principles. You and we hereby agree that any and all disputes regarding the Services, the Creator Program and these Terms will be subject to the jurisdiction of the federal, state, and local courts located in New York. TO THE EXTENT PERMITTED BY LAW, YOU AND DAISY EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY SUCH DISPUTE. YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SERVICES, THE CREATOR PROGRAM, AND/OR THESE TERMS, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. These Terms operate to the fullest extent permissible by law. The failure of Daisy to comply with these Terms because of an act of God, war, fire, riot, terrorism, earthquake, actions of federal, state or local governmental authorities or for any other reason beyond the reasonable control of Daisy, shall not be deemed a breach of these Terms. If Daisy fails to act with respect to your breach or anyone else’s breach on any occasion, Daisy is not waiving its right to act with respect to future or similar breaches. If any provision of these Terms shall be held unlawful, invalid, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms, and any rights or licenses granted hereunder, may not be assigned or delegated by you. These Terms, and any rights or licenses granted hereunder, may be assigned or delegated by Daisy without restriction. These Terms bind and inure to the benefit of each party and the party’s successors and permitted assigns. You agree that any agreements made by and between you and us in electronic form are as legally binding as if made in physical written form. The section titles in these Terms are for convenience only and have no legal or contractual effect. Any provision of these Terms that by its nature is reasonably intended to survive beyond termination of these Terms shall survive.

  12. Contact Information: Questions concerning these Terms or the Services should be directed to [email protected]. We may deliver notices to you by email, posting a notice on the Services, or any other method we choose, and such notice will be effective on dispatch. You consent to receive notices, including agreements, disclosures, and other communications, electronically from us at the email address you have provided or by posting the notice on our Services. You agree that these electronic notices satisfy any applicable notification requirements, including legal requirements that such communications be in writing.

Exhibit A

This Data Processing Addendum (“Addendum”) is entered into by and between you and Daisy and supplements the Terms to which it is attached and incorporated into by this reference. Any capitalized terms not defined in this Addendum shall have the meaning set forth for them in the Terms.

Covered Personal Information: For purposes of Applicable Laws, you and Daisy are each a separate business, controller, or equivalent term with regard to Covered Personal Information. “Personal Information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer or household. “Covered Personal Information” means the following Personal Information that you or your user directly uploads or otherwise provides to Daisy: name, business contact information (i.e., an email address, mailing address, and phone number), billing or payment information, and user credentials for you and/or your user.

Purpose: You agree that you are making the Covered Personal Information available to Daisy and that Daisy uses Covered Personal Information in order to operate the Services and provide the Services to you, including without limitation managing our relationship and your Account; processing payments, billing, and invoicing; managing logins and access to the Services; tailoring the Services to your settings and preferences; monitoring, preventing, and detecting fraudulent transactions and other fraudulent activity on the Services; monitoring, preventing and mitigating financial loss, security risks, and other harms; determining and utilizing third parties (e.g., payment service providers); complying with Applicable Laws; and analyzing and developing our Services. Daisy also uses Covered Personal Information that is contact information in order to send you promotional or sales communications about Daisy’s services and offerings.

You represent and warrant that (a) you have all rights necessary to provide and make available Covered Personal Information for use by Daisy as described above, and no additional permissions or consents are required; and (b) providing Covered Personal Information and Daisy’s use does not and will not violate, misappropriate, or infringe the intellectual property, privacy, publicity, or other rights of any third party.

You and Daisy each agree to comply with Applicable Laws with respect to Covered Personal Information. If you have concerns about how we handle Covered Personal Information, please contact us, and we will each take reasonable and appropriate steps to address those concerns. If, at any point, you determine that you can no longer meet your obligations under Applicable Laws, you shall immediately notify us.
